Scope of Liability for Cross-Border Freight Forwarding Services

1. Purpose and Scope
This Liability Policy defines the scope, limits, and conditions of ShipX Inc's ("ShipX") liability in its capacity as a cross-border freight forwarding and logistics aggregator. This Policy applies to all shipments processed through the ShipX (formerly known as SG Link) platform at shipx.asia and forms part of the contractual framework governing the relationship between ShipX and its customers.
ShipX operates as an intermediary and logistics aggregator, not as a common carrier. Actual carriage of goods is performed by third-party carrier partners. ShipX's liability is therefore limited to its role as a freight forwarding agent and platform operator.
2. Nature of ShipX's Role
ShipX acts as a freight forwarding agent that arranges transportation of goods on behalf of the shipper through its network of 45+ carrier partners. ShipX does not take title to or possession of goods (except at designated warehouse and consolidation points), and does not operate its own transportation assets. ShipX's obligations are to exercise reasonable care and diligence in selecting carriers, arranging transportation, and facilitating customs clearance.
3. Liability for Loss or Damage to Goods
3.1 During Carrier Transit
For loss or damage occurring while goods are in the custody of a third-party carrier, ShipX's liability is limited to assisting the customer in filing claims with the carrier and pursuing recovery on the customer's behalf. The carrier's own terms and conditions of carriage, including liability limits set by applicable international conventions (such as the Montreal Convention for air freight or the Hague-Visby Rules for sea freight), shall apply.
3.2 During ShipX Custody
For loss or damage occurring while goods are in the direct custody of ShipX (at warehouse or consolidation facilities), ShipX's liability shall not exceed the following limits:

4. Exclusions from Liability
ShipX shall not be liable for loss, damage, delay, or non-delivery arising from:
- Acts, omissions, or instructions of the shipper, consignee, or their agents
- Inherent vice, defect, or nature of the goods (including perishability, volatility, or fragility)
- Insufficient or defective packing, labeling, or addressing by the shipper
- Customs seizure, confiscation, or destruction by any governmental authority
- Force majeure events including natural disasters, war, civil unrest, terrorism, pandemics, strikes, or government actions
- Electrical or magnetic damage to electronic goods, or degradation of photographic images
- Shipment of prohibited or restricted items in violation of ShipX's acceptable goods policy or applicable laws
- Failure of the shipper to comply with export/import regulations, licensing requirements, or customs documentation obligations
5. Exclusion of Consequential Damages
Under no circumstances shall ShipX be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunity, loss of goodwill, or losses arising from business interruption, regardless of whether ShipX was advised of the possibility of such damages.
6. AI and Technology Disclaimer
ShipX uses AI-powered systems for routing optimization, pricing, tracking predictions, and customer communications. While these systems are designed to improve accuracy and efficiency, ShipX does not guarantee the accuracy of AI-generated estimates, predictions, or recommendations. Routing and transit time estimates generated by AI tools are indicative and do not create binding commitments. ShipX shall not be liable for decisions made by customers in reliance on AI-generated outputs from the platform.
7. Insurance Recommendation
Given the inherent risks of international shipping and the liability limitations described herein, ShipX strongly recommends that customers obtain appropriate cargo insurance for shipments of significant value. ShipX may facilitate access to insurance products through third-party providers but does not act as an insurer or insurance broker.
8. Subcontracting and Carrier Selection
ShipX reserves the right to subcontract any part of the transportation to carrier partners at its discretion. ShipX exercises reasonable care in selecting carriers but does not guarantee the performance of any third-party carrier. The liability of individual carriers is governed by their own terms and conditions, which may include limitations more restrictive than those set forth in this Policy.
9. Claims Procedure
All claims for loss, damage, or delay must be filed in accordance with ShipX's Compensation Policy, which sets forth the applicable timeframes, documentation requirements, and resolution procedures. Claims not filed within the prescribed timeframes shall be deemed waived.
10. Aggregate Liability Cap
ShipX's total aggregate liability to any customer for all claims arising in any twelve-month period shall not exceed the total service fees paid by that customer to ShipX during the same twelve-month period.
11. Governing Law
This Liability Policy is governed by the laws of Singapore. Any disputes arising from this Policy shall be subject to the exclusive jurisdiction of the courts of Singapore, unless otherwise required by applicable law or international convention.
