Scope of Liability for Cross-Border Freight Forwarding Services
SGLINK Import Export JSC
Effective date: 15 May 2026 | Last updated: 15 May 2026
1. Purpose and Scope
This Liability Policy defines the scope, limitations, and conditions of liability of SGLINK Import Export JSC ("ShipX") in its role as a cross-border freight forwarder and integrated logistics platform. This Policy applies to all shipments processed through the ShipX platform (formerly SGLINK) at shipx.asia and forms part of the contractual framework governing the relationship between ShipX and its customers.
ShipX acts as an intermediary and integrated logistics platform, not as a primary carrier. The actual transportation of goods is performed by third-party carrier partners. Accordingly, ShipX's liability is limited to the scope of its role as a freight-forwarding agent and platform operator.
2. Nature of ShipX's Role
ShipX acts as a freight-forwarding agent, arranging the transportation of goods on behalf of shippers through a network of 45+ carrier partners. ShipX does not take ownership or possession of goods (except at designated warehouse and consolidation points) and does not operate its own transportation vehicles. ShipX is obligated to exercise reasonable responsibility and due care in selecting carriers, arranging transportation, and facilitating customs clearance.
3. Liability for Loss of or Damage to Goods
3.1 While the goods are in transit with the carrier
For loss or damage occurring while the goods are under the management of a third-party carrier, ShipX's liability is limited to assisting the customer in filing a claim with the carrier and pursuing recovery on the customer's behalf. The carrier's own terms and conditions of carriage — including the limits of liability set by applicable international conventions (such as the Montreal Convention for air transport or the Hague-Visby Rules for sea transport) — shall apply.
3.2 While under ShipX's management
For loss or damage occurring while the goods are directly under ShipX's management (at warehouse and consolidation facilities), ShipX's liability shall not exceed:
| Situation | Maximum Liability |
|---|---|
| Total loss or destruction | USD 9/kg (per 500g unit, rounded up), minimum USD 30 per shipment, plus a full refund of service fees |
| Partial loss or damage | Actual documented loss, not exceeding the total-loss cap above |
| Delay beyond the committed time | Full refund of service fees for the affected shipment |
4. Exclusions of Liability
ShipX shall not be liable for any loss, damage, delay, or non-delivery arising from:
- The acts, omissions, or instructions of the shipper, the consignee, or their agents
- Inherent defects, technical faults, or the nature of the goods (including perishable, volatile, or fragile items)
- Inadequate or improper packaging, labeling, or addressing by the shipper
- Seizure, confiscation, or destruction by any government authority
- Force majeure events, including natural disasters, war, civil unrest, terrorism, epidemics, strikes, or government action
- Electrical or magnetic damage to electronic goods, or degradation of optical/photographic images
- The shipment of prohibited or restricted goods in violation of ShipX's acceptable-goods policy or applicable law
- The shipper's failure to comply with import/export regulations, licensing requirements, or customs documentation obligations
5. Exclusion of Consequential Damages
In no event shall ShipX be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of goodwill, or losses arising from business interruption, whether or not ShipX was advised of the possibility of such damages.
6. AI and Technology Disclaimer
ShipX uses AI-powered systems for route optimization, pricing, tracking predictions, and customer communications. While these systems are designed to improve accuracy and efficiency, ShipX does not guarantee the accuracy of any AI-generated estimates, predictions, or recommendations. Routing and transit-time estimates generated by AI tools are indicative only and do not constitute binding commitments. ShipX shall not be liable for decisions made by customers based on the outputs of the platform's AI.
7. Insurance Recommendation
Due to the inherent risks of international shipping and the limitations of liability described herein, ShipX strongly recommends that customers purchase appropriate cargo insurance for shipments of significant value. ShipX may facilitate access to insurance products through third-party providers but does not act as an insurer or insurance broker.
8. Outsourcing and Carrier Selection
ShipX reserves the right to outsource any part of the transportation process to carrier partners at its discretion. ShipX exercises reasonable care in selecting carriers but does not guarantee the performance of any third-party carrier. The liability of each carrier is governed by its own terms and conditions, which may include limitations stricter than those set out in this Policy.
9. Claims Procedure
All claims for loss, damage, or delay must be submitted in accordance with ShipX's Compensation Policy, which sets out the applicable deadlines, documentation requirements, and resolution process. Claims not submitted within the stipulated time limits shall be deemed waived.
10. Limitation of Aggregate Liability
ShipX's total aggregate liability to any customer for all claims arising in any twelve-month period shall not exceed the total service fees paid by that customer to ShipX during the same twelve-month period.
11. Governing Law
This Liability Policy is governed by the laws of Singapore. Any dispute arising from this Policy shall be subject to the exclusive jurisdiction of the courts of Singapore, unless otherwise provided by applicable law or international convention.
